Community Plugin Usage Agreement

This Community Plugin Usage Agreement (“Agreement”) is made between TAO.ai Inc. (“Provider”, “we”, “us”) and the party or entity utilizing the Wertual plugin (“User”, “you”). This Agreement outlines the terms under which you may use the Wertual plugin to create, manage, or operate a community under a domain controlled by TAO.ai or your own domain. By using the Wertual plugin, you agree to comply with the following terms and conditions:

 

1. Definitions

• Plugin: The Wertual software or tool provided by TAO.ai for creating and managing professional communities.
• Community: A group or network created using the Plugin, hosted either on a TAO.ai-owned domain or a user-provided domain.
• Domain: The web address or platform space used to host the Community, which may be TAO.ai-controlled (e.g., [subdomain.wertual.com]) or user-controlled.

 

2. License and Ownership

• TAO.ai grants you a non-exclusive, revocable, limited license to use the Plugin for managing your Community in compliance with this Agreement.
• All intellectual property associated with the Plugin remains the sole property of TAO.ai.
• TAO.ai retains ownership of any TAO.ai-controlled domain (e.g., subdomains of wertual.com).

 

3. Community Guidelines

To ensure compliance and protect the integrity of all communities:

• Content Compliance:
  • Content hosted or shared within your Community must comply with all applicable laws and regulations.
  • Prohibited content includes but is not limited to hate speech, harassment, illegal activities, and intellectual property infringement.
• Ethical Use:
  • Communities must promote inclusivity, fairness, and ethical engagement.
  • Activities undermining trust, such as spam, fraudulent behavior, or harmful misinformation, are prohibited.
• Engagement Rules:
  • Members of your Community must adhere to respectful communication practices.
  • Communities that foster toxic or harmful behavior may face immediate intervention.

 

4. Domain Use and Reclamation

• TAO.ai-Controlled Domains:
  • If your Community is hosted on a TAO.ai-controlled domain, the domain remains the property of TAO.ai.
  • TAO.ai reserves the right to reclaim the domain or community if:
     a. The Community violates any part of this Agreement.
     b. The Community becomes inactive or stops growing for a period exceeding [60 days].
  • c. The Community is deemed harmful or misaligned with TAO.ai’s mission or brand standards.
• User-Controlled Domains:
  • Communities hosted on your own domain must still comply with the terms of this Agreement.
  • Failure to comply may result in suspension or termination of Plugin access.

 

5. Subscription and Fees

• Free Access (Beta Period):
  • Currently, TAO.ai offers the Wertual Plugin free of charge.
  • Users acknowledge and agree that this free access is subject to change at TAO.ai’s discretion.
• Subscription Fees:
  • TAO.ai reserves the right to introduce subscription fees or other charges for continued use of the Plugin in the future.
  • If TAO.ai decides to implement fees:
     a. Users will receive advance written notification (via email or Plugin notifications) at least [30 days] before charges take effect.
     b. Users may choose to opt out of continued usage of the Plugin if they do not wish to pay the subscription fee.
     c. If users fail to opt out or deactivate the Plugin, they will be deemed to have accepted the new payment terms.
• Payment Terms:
  • Detailed payment terms, billing cycles, and pricing will be communicated upon introducing the subscription fees.

 

6. Termination and Repercussions

• TAO.ai reserves the right to terminate or suspend your access to the Plugin or Community for:
  • Breach of this Agreement.
  • Legal or regulatory violations.
  • Actions harming TAO.ai’s reputation, brand, or other users.
• Upon termination:
  • If your Community is hosted on a TAO.ai domain, TAO.ai will determine the future use of the domain.
  • If the Plugin is disabled on your domain, you are required to delete all instances of Wertual-related code or features.

 

7. Liability and Indemnification

• Liability Limitation:
  • TAO.ai shall not be liable for indirect, incidental, or consequential damages arising from your use of the Plugin.
• Indemnification:
  • You agree to indemnify and hold TAO.ai harmless from any claims, liabilities, or expenses resulting from your Community or its content.

 

8. Updates and Modifications

• TAO.ai reserves the right to modify or update this Agreement, the Plugin, or its features at any time.
• Users will be notified of material changes via email or Plugin notifications. Continued use of the Plugin after changes signifies acceptance.

 

9. Dispute Resolution

• Any disputes arising under this Agreement shall be governed by the laws of [Applicable Jurisdiction].
• Disputes will be resolved through arbitration in [Applicable Jurisdiction], with the decision binding to both parties.

 

10. Miscellaneous

• Entire Agreement:
  • This Agreement constitutes the entire understanding between you and TAO.ai regarding the Plugin and supersedes any prior agreements.
• Severability:
  • If any provision of this Agreement is found invalid, the remainder of the Agreement remains enforceable.
• Non-Assignment:
  • You may not assign your rights or obligations under this Agreement without TAO.ai’s prior written consent.
